FROSTBRIDGE AI, INC.

TERMS OF USE

Website and Application Terms | Effective Date: August 18, 2026 | Last Updated: August 18, 2026

These Terms of Use ("Terms") govern access to and use of the websites, web pages, applications, portals, account interfaces, documentation, and other online services operated by Frostbridge AI, Inc., doing business as Frostbridge ("Frostbridge," "we," "us," or "our"), including frostbridge.ai and the Frostbridge application (collectively, the "Online Services").

These Terms apply to website visitors, prospects, individual account users, invited users, administrators, and other individuals who access or use the Online Services. If you access or use Frostbridge on behalf of a company, organization, or other legal entity, that organization may also be bound by the Frostbridge Customer Agreement, Data Processing Addendum, Acceptable Use Policy, applicable Subscription Record, and related online terms (collectively, the "Customer Terms"). If there is a conflict between these Terms and the Customer Terms, the Customer Terms control for organization-level subscriptions, Customer Data, billing, seats, integrations, agents, monitoring, support, and use of the Frostbridge SaaS platform.

1 Acceptance

By accessing or using the Online Services, creating an account, accepting an invitation, joining an organization, accessing the Frostbridge application, or clicking an acceptance button or checkbox, you agree to these Terms. If you do not agree, you may not access or use the Online Services.

If you create an organization, select a plan, add seats, provide payment details, connect systems, install agents or browser extensions, or take another administrative or billing action on behalf of an organization, you represent that you are authorized to take that action for the organization. Those actions may also be governed by the Customer Terms.

2 Eligibility and accounts

You may use the Online Services only if you can legally agree to these Terms and are not barred from using the Online Services under applicable law. The Online Services are intended for business and professional use and are not directed to children.

You are responsible for keeping your login credentials, authentication methods, devices, sessions, and account information secure. You must promptly notify Frostbridge if you believe your account has been compromised or used without authorization. You are responsible for activity under your account except to the extent caused by Frostbridge's breach of these Terms.

3 Individual users, organizations, and administrators

Frostbridge may allow users to create or join organizations, teams, workspaces, or similar accounts. Organization owners, administrators, and billing managers may be able to invite users, assign roles, configure policies, connect integrations, deploy agents, manage seats, change plans, enable features, and incur charges.

If you are an invited user, your access may be controlled by your organization and its administrators. Your organization may configure Frostbridge to collect, process, monitor, analyze, or display information from systems, applications, devices, browsers, AI tools, cloud accounts, repositories, identity providers, or other environments connected by your organization. Questions about your organization's monitoring, notices, consents, policies, or use of Customer Data should generally be directed to your organization.

4 Relationship to the Customer Agreement

These Terms are user-facing terms for individual access to the Online Services. They do not replace the Frostbridge Customer Agreement. The Customer Agreement governs organization-level access to and use of the Frostbridge SaaS platform, including subscriptions, Customer Data, Customer Systems, agents, browser extensions, connectors, APIs, dashboards, security monitoring, AI governance features, payment, support, and related services.

If your organization has accepted the Customer Agreement, your use of Frostbridge through that organization is also subject to the Customer Agreement, Acceptable Use Policy, Data Processing Addendum, administrator settings, and applicable policies. You must comply with those terms and settings when using Frostbridge through an organization.

5 Website and informational content

Website content, product descriptions, documentation, blog posts, diagrams, security materials, marketing materials, pricing pages, and other public content are provided for general informational, marketing, and product-evaluation purposes. They are not legal, compliance, security, financial, or professional advice. Frostbridge may change, remove, or update content at any time.

6 Permitted use

You may use the Online Services only for lawful business or professional purposes and in accordance with these Terms, applicable Customer Terms, documentation, and applicable law. You must not use the Online Services in a way that harms Frostbridge, its customers, other users, third parties, or the security, availability, or integrity of the Online Services.

7 Prohibited use

You must not, and must not help anyone else to:

  • access, use, monitor, scan, test, or collect data from systems, accounts, users, devices, or third-party services without proper authorization;
  • interfere with, disrupt, overload, scrape, crawl, probe, reverse engineer, decompile, disassemble, or attempt to bypass any security, authentication, rate limit, metering, access-control, or usage-control mechanism;
  • copy, modify, resell, sublicense, create derivative works from, or use the Online Services to build or benchmark a competing product or service;
  • submit malware, exploit code, phishing content, credential-theft material, harmful automation, or content designed to evade security or privacy controls, except as expressly authorized for defensive testing under applicable documentation and law;
  • use the Online Services for unlawful surveillance, discriminatory monitoring, harassment, illegal interception, unauthorized access, or any violation of privacy, employment, labor, monitoring, works-council, BYOD, sector-specific, export-control, sanctions, anti-corruption, or AI-safety laws;
  • submit data that you or your organization are not legally permitted to process through Frostbridge, or data requiring special contractual terms not agreed by Frostbridge;
  • misrepresent your identity, affiliation, authority, or authorization to act for an organization;
  • remove or obscure proprietary notices or falsely imply that Frostbridge endorses you or any product, service, or organization.

8 Integrations, agents, extensions, and customer-controlled systems

Frostbridge may interoperate with third-party services, identity providers, SaaS tools, AI tools, cloud accounts, source-code repositories, browsers, endpoints, agents, extensions, APIs, and other systems. Your organization is responsible for determining what systems to connect, what permissions to grant, what data to process, which users or devices to monitor, and what notices, consents, approvals, or policies are required.

You must not connect a system, deploy an agent or extension, authorize an integration, or enable monitoring unless you or your organization have the rights and permissions required to do so.

9 AI and security outputs

Frostbridge may provide alerts, summaries, classifications, risk scores, recommendations, policy suggestions, reports, or AI-assisted outputs. These outputs may be probabilistic, incomplete, inaccurate, duplicative, or non-unique and may require human review. Frostbridge does not guarantee that the Online Services will identify, prevent, detect, contain, or remediate every security incident, AI risk, vulnerability, malicious action, policy violation, prompt leakage, data loss, shadow AI use, or other issue.

You and your organization are responsible for reviewing outputs, validating recommendations, configuring policies, and deciding whether to take action based on Frostbridge outputs.

10 Privacy

Frostbridge's Privacy Policy explains how we collect, use, disclose, and protect personal information in connection with the Online Services. By using the Online Services, you acknowledge the Privacy Policy.

Customer Data processed by Frostbridge on behalf of a business customer is primarily governed by the Customer Agreement and Data Processing Addendum. If you have questions about Customer Data controlled by your organization, you should generally contact your organization.

11 Cookies and similar technologies

Frostbridge may use cookies, local storage, pixels, logs, and similar technologies for essential functionality, authentication, security, preferences, analytics, and marketing, as described in the Privacy Policy and any applicable Cookie Notice.

12 Third-party services

The Online Services may include links to, integrations with, or functionality that depends on third-party websites, products, APIs, platforms, models, infrastructure, or services. Frostbridge does not control and is not responsible for third-party services, their availability, security, data practices, outputs, terms, changes, pricing, or performance.

Your use of third-party services may be subject to separate third-party terms and policies.

13 Intellectual property

Frostbridge and its licensors own all right, title, and interest in and to the Online Services, websites, applications, software, agents, extensions, APIs, dashboards, documentation, content, designs, workflows, models, detection logic, prompts, algorithms, reports, templates, trade names, trademarks, logos, and other technology and materials, including all intellectual property rights.

Except as expressly allowed by these Terms or applicable Customer Terms, no rights or licenses are granted to you. You may not use Frostbridge names, logos, branding, or trademarks without Frostbridge's prior written permission.

14 Feedback

If you provide ideas, suggestions, comments, requests, improvements, or other feedback about Frostbridge, you grant Frostbridge a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to use that feedback for any purpose without restriction, attribution, or compensation.

15 Beta, trial, preview, and free features

Frostbridge may offer beta, trial, preview, pilot, evaluation, or free features. These features are optional, experimental, may be changed or discontinued at any time, may not be supported, and are provided "as is" and "as available" unless a separate written agreement states otherwise.

16 Billing and subscriptions

If you purchase, administer, or use a paid subscription, billing, seats, plan changes, usage, payment methods, renewals, cancellations, taxes, refunds, and related commercial terms are governed by the applicable Customer Terms, Subscription Record, checkout flow, invoices, or billing settings. Frostbridge may use third-party payment processors to process payments. Frostbridge does not store full payment card numbers where payment details are handled by a payment processor.

17 Suspension and termination

Frostbridge may suspend, limit, or terminate your access to the Online Services if Frostbridge reasonably believes that: you violated these Terms or applicable Customer Terms; your account is being used without authorization; your use creates security, legal, operational, or business risk; your organization fails to pay applicable fees; suspension is required by law or a third-party provider; or suspension is necessary to protect Frostbridge, customers, users, or third parties.

You may stop using the Online Services at any time. If you use Frostbridge through an organization, termination of your individual account may not terminate the organization's subscription or obligations.

18 Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ONLINE SERVICES, WEBSITES, APPLICATIONS, DOCUMENTATION, CONTENT, OUTPUTS, SUPPORT, BETA FEATURES, TRIAL FEATURES, AND FREE FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FROSTBRIDGE DOES NOT WARRANT THAT THE ONLINE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, FREE OF HARMFUL COMPONENTS, OR THAT THEY WILL DETECT OR PREVENT ALL SECURITY INCIDENTS, AI RISKS, MISUSE, VULNERABILITIES, POLICY VIOLATIONS, OR DATA LOSS.

19 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTBRIDGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, BUSINESS INTERRUPTION, LOSS OF DATA, COST OF SUBSTITUTE SERVICES, OR SECURITY INCIDENT REMEDIATION COSTS, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF FROSTBRIDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FROSTBRIDGE'S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE ONLINE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100), EXCEPT TO THE EXTENT A DIFFERENT LIMIT EXPRESSLY APPLIES UNDER A CUSTOMER AGREEMENT SIGNED OR ACCEPTED BY THE APPLICABLE CUSTOMER.

20 Indemnity

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Frostbridge and its affiliates, officers, directors, employees, contractors, service providers, and licensors from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, misuse of the Online Services, unauthorized access or monitoring, violation of law, infringement or misappropriation of rights, or misrepresentation of your authority to act for an organization.

21 Changes to these Terms

Frostbridge may update these Terms from time to time. The updated version will be effective when posted unless otherwise stated. If we make material changes, we may provide notice through the Online Services, by email, or by other reasonable means. Your continued use of the Online Services after the effective date of updated Terms means you accept the updated Terms.

22 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to these Terms, except that Frostbridge may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, or systems.

23 Miscellaneous

These Terms, together with any applicable Customer Terms, Privacy Policy, and incorporated policies, are the entire agreement between you and Frostbridge regarding your individual use of the Online Services. If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect. Frostbridge's failure to enforce a provision is not a waiver. You may not assign these Terms without Frostbridge's prior written consent. Frostbridge may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, change of control, or sale of assets.
